Terms and Conditions
Effective date: 2 July 2026
1. Who we are
These Terms and Conditions ("Terms") govern your use of Memory Code, a service for collecting and sharing photos and short videos at events, available at memorycode.app (the "Website") and app.memorycode.app (the "App") — together, the "Service".
The Service is operated by:

("Memory Code", "we", "us", "our"). We are a sole proprietorship registered in the Republic of Slovenia. We are not registered for VAT; prices shown are final amounts and do not include VAT.
By creating an account, purchasing an event, uploading content, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
2. Definitions
- Host — a registered account holder who creates and manages events and purchases the Service.
- Guest — an event attendee who uploads photos or videos to an event gallery via a QR code or link, without an account.
- Viewer — anyone who opens a gallery link to view content or react to photos.
- Event — a photo/video collection created by a Host on the Service.
- Content — photos, videos, messages, names, and any other material uploaded to the Service by Hosts, Guests, or Viewers.
- Plan — a paid package that determines an event's features, photo limits, and storage duration.
3. Eligibility and accounts
3.1. You must be at least 18 years old and have full legal capacity to register as a Host and to purchase the Service. Guests and Viewers may use event galleries without an account; where a Guest is a minor, the Host is responsible for ensuring appropriate parental or guardian awareness and consent (see Section 8).
3.2. You must provide accurate registration information (including business details where applicable) and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. We recommend enabling two-factor authentication.
3.3. We may suspend or ban accounts that violate these Terms, applicable law, or the rights of others. Where reasonable, we will state the reason and duration of the ban.
3.4. You may request deletion of your account at any time from your account settings or by contacting [email protected].
4. The Service
4.1. Memory Code allows Hosts to create customizable event galleries; Guests to upload photos and short video clips via a QR code or link, without installing an app; and everyone with access to view a live shared gallery, an optional big-screen slideshow, and to react to photos.
4.2. Depending on the purchased Plan and add-ons, the Service may also include album downloads (ZIP export of original-quality media with time-limited download links), printed albums, printed QR table stands and stickers, an analytics dashboard, and other features described on the Website.
4.3. Events progress through lifecycle statuses (e.g. Draft, Trial, Active, Locked, Archived). An event that is not paid for, or whose trial has ended, may be locked until payment is completed. Each Plan includes limits (such as a maximum number of photos and a storage duration); these are described at the time of purchase.
4.4. We continuously develop the Service and may modify, add, or remove features. Where a change materially reduces functionality you have already paid for on an active event, we will endeavour to provide a fair remedy.
5. Free trial
5.1. We may offer a free trial (for example, "free until you go live"). During the trial you can set up and test an event without payment. When the trial ends without a purchase, the event is locked and, after the applicable retention period, its content may be deleted.
5.2. Trial terms (duration, included features) are described on the Website and may change; changes do not affect trials already in progress.
6. Prices, payment and orders
6.1. The Service is sold on a per-event, one-time basis — there is no subscription. Current Plans, prices and included features are listed on the Website. Prices are in EUR unless stated otherwise.
6.2. Payments are processed by Stripe. We do not store your card details; payment data is handled by Stripe under its own terms and privacy policy.
6.3. Add-ons may include digital features (e.g. video clips, album download), physical products (e.g. QR table stands, printed albums) and services. Add-ons may also be provided through passes/credits or granted by us.
6.4. For physical products, order statuses (e.g. Pending, Paid, Fulfilling, Shipped, Completed) are shown in your account and communicated by email. Delivery times are estimates, not guarantees.
6.5. Obvious pricing errors on the Website do not bind us; if you have already paid on the basis of such an error, you may choose between the corrected price and a full refund.
7. Refunds, cancellations and shipping
7.1 Digital services (event Plans and digital add-ons)
- You may cancel a purchased event Plan and receive a full refund within 14 days of purchase, provided the event has not been activated (i.e. it has not gone live).
- Once an event is activated (goes live, guests are invited to upload, or the gallery is in active use), the service is considered fully performed at your request and no refund is available, in accordance with Article 16(a) of Directive 2011/83/EU and the corresponding provisions of the Slovenian Consumer Protection Act (ZVPot-1). By activating an event before the end of the 14-day period, you expressly request immediate performance and acknowledge that you lose the right of withdrawal.
7.2 Physical products
- We ship physical products (QR table stands, printed albums, stickers) to countries in the European Union and the Balkans region. Available destinations and shipping costs are shown at checkout.
- Personalized and custom-made products — including printed albums and QR stands or stickers produced with your event's unique QR code, names, dates, or other customization — are made to your specification and are therefore exempt from the 14-day right of withdrawal under Article 16(c) of Directive 2011/83/EU / ZVPot-1.
- Non-personalized physical products (if any) may be returned within 14 days of delivery, unused and in original packaging; return shipping is at your cost.
- If a product arrives damaged or defective, contact [email protected] within a reasonable time and we will replace it or refund it. Statutory warranty rights under Slovenian and EU consumer law remain unaffected.
7.3 How to request a refund
Email [email protected] from the email address associated with your account, stating your order details. Approved refunds are issued to the original payment method, normally within 14 days.
8. Host responsibilities regarding Guests and their content
8.1. The Host is the organizer of the event and has the direct relationship with Guests and Viewers. The Host — not Memory Code — is responsible for:
- informing Guests and other attendees that photos and videos taken at the event may be uploaded to a shared gallery, and how that gallery is shared (link visibility, slideshow, downloads);
- obtaining any consents required under applicable law for the collection and sharing of images of attendees, including images of minors, for which the Host must ensure appropriate parental or guardian consent where required;
- choosing appropriate event visibility settings (public-with-link or private) and moderating uploaded content (hiding, deleting or rejecting inappropriate material);
- complying with applicable data protection law in respect of Guest content, as further described in the Data Processing Addendum in Section 15.
8.2. The Host indemnifies Memory Code against claims by Guests, Viewers, or third parties arising from the Host's failure to comply with this Section 8, except to the extent the claim results from our own breach of these Terms or of applicable law.
9. Content — rights and license
9.1. You keep ownership of your Content. Hosts and Guests retain all intellectual property rights in the photos, videos, and text they upload.
9.2. By uploading Content, you grant Memory Code a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, transcode, display, and distribute that Content solely for the purpose of operating and providing the Service (including the live gallery, slideshow, album exports, and printed products ordered by the Host). This license ends when the Content is deleted from the Service, subject to short-lived backups.
9.3. By uploading Content, Guests acknowledge that the Host and other persons with access to the event gallery will be able to view and, where the Plan allows, download that Content.
9.4. We do not claim ownership of your Content and we do not use it for advertising or for training AI models.
10. Acceptable use
You must not upload or share Content that: is illegal; infringes intellectual property or privacy rights of others; is sexually explicit involving minors (which we will report to authorities); constitutes harassment, hate speech, or threats; contains malware; or otherwise violates applicable law. You must not attempt to gain unauthorized access to the Service, scrape it, overload it, circumvent photo limits or paywalls, or misuse QR codes or gallery links of events you are not authorized to access.
We may remove Content and suspend or terminate access for violations. Hosts can moderate their own galleries at any time.
11. Storage duration, expiry and deletion
11.1. Each Plan includes a storage (retention) duration for event content, as stated at purchase (for example, several months, one year, or "lifetime").
11.2. "Lifetime" means for as long as the Memory Code service operates. It is not a guarantee of perpetual storage. If we decide to discontinue the Service, we will give reasonable advance notice (at least 60 days, by email to Hosts and/or notice on the Website) so that you can download your albums before the shutdown date, after which content will be deleted.
11.3. When an event's retention period ends, the event is archived and its content is scheduled for deletion by our automated cleanup processes. Album download links are time-limited and expire.
11.4. You are responsible for downloading and backing up your Content before it expires. The Service is not a backup service.
12. Availability and support
12.1. We aim for high availability but do not guarantee uninterrupted, error-free operation. Maintenance, third-party outages (hosting, CDN, payment, email providers), and force majeure may temporarily affect the Service — including live features such as real-time galleries and slideshows during an event.
12.2. Support is provided in English and Bosnian via [email protected] and the contact form on the Website.
13. Liability
13.1. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for intent or gross negligence, or mandatory consumer rights under Slovenian and EU law.
13.2. Subject to 13.1, our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the event or order giving rise to the claim in the 12 months preceding the event giving rise to the claim.
13.3. Subject to 13.1, we are not liable for: loss of profits or indirect damages; Content uploaded by Hosts, Guests, or Viewers; the conduct of event attendees; or loss of Content that you failed to download before its retention period expired, provided we complied with these Terms.
14. Termination
14.1. You may stop using the Service and request account deletion at any time. Statutory refund rights and Section 7 apply to paid amounts.
14.2. We may suspend or terminate your access with immediate effect for material breach of these Terms (in particular Sections 8 and 10), fraud, or legal requirement. For other reasons, we may terminate with 30 days' notice; in that case, unused paid events will be refunded pro rata or in full where the event has not been activated.
14.3. Sections that by their nature should survive termination (including 8.2, 9, 13, 15, and 17) survive.
15. Data Processing Addendum (DPA)
This Section applies where the Host, in using the Service, determines the purposes and means of processing personal data of Guests and Viewers (photos, videos, names, messages) and Memory Code processes that data on the Host's behalf. In GDPR terms, the Host is the controller of Guest content and Memory Code is the processor. (For Host account data, Memory Code is the controller — see our Privacy Policy.)
15.1. Subject matter and duration. Processing of Guest/Viewer personal data as needed to provide the Service, for the duration of the event's retention period.
15.2. Nature and purpose. Hosting, storage, display, transmission, export, printing (where ordered), and deletion of event content; generation of gallery analytics for the Host.
15.3. Categories of data subjects and data. Event attendees, Guests, and Viewers; photos and videos (which may include images of identifiable persons, including minors), optional display names, optional free-text messages, pseudonymized technical data (hashed IP addresses, hashed device information), and reaction data.
15.4. Processor obligations. Memory Code shall: process the data only to provide the Service and on the Host's documented instructions (given through the App's features — e.g. visibility settings, moderation, deletion, export); ensure persons authorized to process the data are bound by confidentiality; implement appropriate technical and organizational measures (described in our Privacy Policy, including encryption in transit, hashed technical identifiers, access controls, and token-based guest access); assist the Host, insofar as reasonably possible, in responding to data subject requests and in meeting the Host's obligations under Articles 32–36 GDPR; notify the Host without undue delay after becoming aware of a personal data breach affecting the Host's event data; and, at the end of the retention period or upon deletion by the Host, delete the personal data, unless storage is required by law.
15.5. Sub-processors. The Host provides general authorization for Memory Code to use the sub-processors listed in our Privacy Policy (hosting/storage, CDN, email delivery, payments, error monitoring). We will inform Hosts of intended changes to sub-processors (e.g. via the Website or email), giving the Host the opportunity to object on reasonable data protection grounds.
15.6. Transfers. Event media is stored within the European Union. Where a sub-processor processes personal data outside the EU/EEA, transfers are safeguarded by an adequacy decision or Standard Contractual Clauses.
15.7. Audit. Upon reasonable written request (no more than once per year), Memory Code will make available information reasonably necessary to demonstrate compliance with this DPA.
16. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify registered Hosts by email or in-app notice at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. Changes do not retroactively affect events already purchased, except where required by law or where the change is to your benefit.
17. Governing law and disputes
17.1. These Terms are governed by the law of the Republic of Slovenia, excluding its conflict-of-law rules. If you are a consumer resident in another EU country, you also benefit from mandatory consumer protection provisions of your country of residence.
17.2. Disputes shall be resolved by the competent court in Kranj, Slovenia, unless mandatory law grants a consumer the right to sue or be sued in their country of residence.
17.3. Consumer disputes (EU): we do not participate in out-of-court consumer dispute resolution schemes (IRPS) within the meaning of the Slovenian Out-of-Court Resolution of Consumer Disputes Act (ZIsRPS), and no such provider is recognized as competent by us. 18. Miscellaneous
If any provision of these Terms is invalid, the remainder stays in force. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; we may assign them in connection with a transfer of the business, with notice to you. These Terms, together with the Privacy Policy and the Plan/add-on descriptions at purchase, are the entire agreement between us regarding the Service.
